Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and TechNext Pte. Ltd. ("TechNext", "we", "us", or "our"), governing your access to and use of our website and services.

By accessing our website, submitting a contact form, or engaging TechNext for services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

Our Services

TechNext provides the following professional services:

• Odoo ERP implementation, configuration, and customisation
• AI workflow automations and chatbot development
• System integration with third-party platforms
• Staff training, onboarding support, and post-launch consultation
• Ongoing maintenance and support retainers

The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work ("SOW") or project proposal agreed upon by both parties in writing prior to commencement.

Free Demo Sessions

Free 30-minute demo sessions are offered without obligation. TechNext reserves the right to decline or reschedule demo requests at our discretion.

Use of Website

You agree to use our website only for lawful purposes. You must not:

• Use the website in any way that violates applicable laws or regulations
• Transmit any unsolicited or unauthorised advertising material
• Attempt to gain unauthorised access to any part of the website or its related systems
• Introduce viruses, malware, or other harmful material
• Scrape, crawl, or copy content without our written permission
• Impersonate TechNext or any of its personnel

We reserve the right to restrict or terminate access to the website for any user who violates these conditions.

Intellectual Property

Our content

All content on this website — including text, graphics, logos, icons, and software — is the property of TechNext Pte. Ltd. or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Client materials

You retain ownership of all materials, data, and content you provide to us. By sharing these with TechNext, you grant us a non-exclusive licence to use them solely for the purpose of delivering your project.

Project deliverables

Upon full payment of all invoices, ownership of custom deliverables created specifically for you transfers to you. General tools, frameworks, and methodologies developed by TechNext remain our intellectual property.

Payment & Fees

Payment terms are specified in the applicable project proposal or SOW. In general:

• A deposit (typically 50%) is required before project commencement
• The remaining balance is invoiced upon project milestones or completion as agreed
• Invoices are due within 14 days of issuance unless otherwise stated
• Late payments may incur interest at 1.5% per month on the overdue amount
• All fees are quoted in USD unless otherwise specified

TechNext reserves the right to suspend or terminate services if payment obligations are not met. Additional work outside the agreed scope will be quoted and approved separately before commencement.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes business data, system configurations, client lists, and project details.

Confidential information shall not be disclosed to third parties without the disclosing party's prior written consent, except where required by law. This obligation survives termination of the engagement for a period of three (3) years.

TechNext may reference your company name and a general description of the project in our portfolio or case studies, unless you explicitly request otherwise in writing.

Limitation of Liability

To the maximum extent permitted by applicable law, TechNext shall not be liable for:

• Indirect, incidental, special, or consequential damages arising from use of our services or website
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from third-party software (including Odoo) or platform changes outside our control
• Service interruptions due to force majeure events

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to TechNext in the three (3) months preceding the claim.

Warranties & Disclaimers

TechNext warrants that services will be performed with reasonable skill and care by qualified professionals. We do not warrant that:

• The website will be available uninterrupted or error-free at all times
• Results from implementing our services will meet specific financial or business targets
• Third-party integrations or platforms (e.g., Odoo) will remain unchanged after project delivery

The website and its content are provided "as is" without warranties of any kind, either express or implied.

Termination

Either party may terminate an engagement by providing 14 days' written notice. In the event of termination:

• You are liable for payment of all work completed up to the termination date
• TechNext will deliver all completed work product for which payment has been received
• Any deposit paid is non-refundable if work has commenced

TechNext may terminate immediately and without notice if you breach these Terms, fail to make payment, or engage in conduct harmful to TechNext or its personnel.

Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

The parties agree to first attempt to resolve any dispute through good-faith negotiation before commencing formal legal proceedings.

Changes to Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.

For active project engagements, changes to Terms will not affect the existing SOW unless mutually agreed in writing.
